CREATOR PLATFORM SUBSCRIBER ADDENDUM

Additional Terms for Subscribers of Creator Content and Co-Branded Bots

1. About This Addendum

This Creator Platform Subscriber Addendum (this "Addendum") supplements the Clock Out Capital Terms of Service (the "TOS") and applies whenever you subscribe to (a) a Course Subscription, signal service, newsletter, or other content offering provided by a Creator on the Clock Out Capital Creator Platform, or (b) an automated trading bot that bears a Creator's name or branding (a "Co-Branded Bot"). In the event of a conflict between this Addendum and the TOS, this Addendum controls solely with respect to Creator-related subscriptions and Co-Branded Bots.

Capitalized terms used but not defined in this Addendum have the meanings given in the TOS. References to "Creator" mean an individual or entity approved by Clock Out Capital, LLC ("Clock Out Capital," "we," or "us") to publish content or supply strategy inputs through the Creator Platform.

2. Relationship Between Clock Out Capital and Creators

CREATORS ARE INDEPENDENT CONTRACTORS. CLOCK OUT CAPITAL DOES NOT EMPLOY CREATORS, CONTROL THEIR OPINIONS, OR GUARANTEE THE ACCURACY, QUALITY, OR PERFORMANCE OF CREATOR CONTENT OR CO-BRANDED BOTS.

Specifically:

• Each Creator is an independent third party who has been approved to publish content on the Creator Platform but is not an employee, agent, or partner of Clock Out Capital;

• The opinions, views, performance claims, and trade ideas expressed by a Creator are those of the Creator and do not represent the views or recommendations of Clock Out Capital;

• Clock Out Capital does not independently verify Creator credentials, track records, or qualifications, although we require Creators to comply with our Content Guidelines;

• Clock Out Capital does not guarantee that any Creator Content or Co-Branded Bot will produce profitable trading results.

2A. Configurations Published by Other Users

Separately from approved Creators, the Services may let any user publish a strategy configuration that other users can copy into their own account. A user who does this is not an approved Creator, is not vetted by us in any way, and may be entirely anonymous to you.

For any configuration published by another user:

• We do not review, test, endorse, or verify it, or any description or result presented alongside it;
• The publisher is not our agent, employee, contractor, or partner, and nothing they say is attributable to us;
• Copying a configuration copies parameters only. It does not copy the publisher's account, capital, positions, brokerage, execution, timing, or results. The same parameters in your account can behave very differently;
• Any performance shown is not a prediction, and may reflect an account size, risk tolerance, or market period unlike yours;
• The configuration becomes yours when you copy it. You run it, in your account, with your funds, at your risk, exactly as with any other Clock Bot, and you are responsible for reviewing every parameter before you enable it — including position sizing and risk limits;
• Sections 3.2 (No Investment Advice), 3.3 (Performance Claims) and 7 (Disclaimers) of this Addendum apply to user-published configurations in full, reading "Creator" as the publishing user.

Report a configuration that appears to be fraudulent, manipulative, or dangerous to [email protected].

3. Creator Content

3.1 General

Creator Content (including courses, newsletters, articles, videos, signals, screeners, and discussion posts) is published by Creators for general circulation. Creator Content is not personalized investment advice and is not tailored to your individual financial situation, risk tolerance, or objectives.

3.2 No Investment Advice

CREATORS ARE NOT REGISTERED INVESTMENT ADVISERS, BROKERS, OR FIDUCIARIES (UNLESS A CREATOR EXPRESSLY AND TRUTHFULLY STATES OTHERWISE WITH ALL APPROPRIATE DISCLOSURES). NO CREATOR OWES YOU A FIDUCIARY DUTY. CREATORS DO NOT KNOW YOUR FINANCIAL SITUATION AND CANNOT TELL YOU WHAT IS APPROPRIATE FOR YOU.

If a Creator appears to give you personalized advice in any communication channel (Discord, livestream, comments, email), you should treat that advice with the same skepticism you would apply to any commentary from a person without knowledge of your situation.

3.3 Performance Claims

Performance figures, backtests, and trade examples published by Creators have inherent limitations:

• Past performance is not indicative of future results;

• Backtested or hypothetical results do not represent actual trading and may have under- or over-compensated for real-world frictions like slippage, partial fills, taxes, and account-size effects;

• A Creator's personal trading record reflects the Creator's own decisions, account size, and circumstances, and does not predict what you will achieve;

• A Co-Branded Bot's reported results, even if accurately based on Company data, may differ from your actual results due to differences in your account size, available capital, brokerage execution, and other factors.

4. Co-Branded Bots

4.1 What Co-Branded Bots Are

A Co-Branded Bot is a Clock Bot whose strategy parameters were supplied or influenced by a Creator. The Bot is operated by Clock Out Capital on Clock Out Capital's infrastructure. The Creator does not directly control your account; the Creator does not see your specific positions, balances, or trades.

4.2 You Are Responsible for the Bot's Trades in Your Account

WHEN YOU ENABLE A CO-BRANDED BOT IN YOUR CONNECTED BROKERAGE ACCOUNT, EVERY ORDER GENERATED BY THE BOT IS YOUR ORDER, EXECUTED IN YOUR ACCOUNT, IN YOUR NAME, WITH YOUR FUNDS, AT YOUR RISK. YOU ARE RESPONSIBLE FOR MONITORING THE BOT, SETTING POSITION LIMITS AND OTHER SAFEGUARDS, AND DISABLING THE BOT IF YOU CHOOSE TO DO SO.

4.3 Modifications to Co-Branded Bots

Clock Out Capital and the Creator may from time to time modify the strategy parameters of a Co-Branded Bot. Material modifications will be communicated to active subscribers in advance where reasonably practicable. The Bot's behavior after a modification may differ materially from its prior behavior, including its prior reported performance.

4.4 Bot Suspension or Discontinuation

Clock Out Capital may suspend or discontinue a Co-Branded Bot at any time, including in response to platform-integrity, regulatory, or safety concerns, the Creator's departure from the platform, or a request from the Creator. If a Co-Branded Bot is discontinued, you will be given an opportunity to migrate to a comparable Company-operated bot, continue running the Bot for a wind-down period, or cancel your subscription.

5. Billing for Creator-Related Subscriptions

5.1 Course Subscriptions

Course Subscriptions are billed by Clock Out Capital. Pricing for each Course Subscription is set by Clock Out Capital in coordination with the Creator and is published on the Creator's Page. Course Subscriptions auto-renew on the same basis as the underlying TOS unless you cancel.

5.2 Co-Branded Bot Subscriptions

Subscriptions to Co-Branded Bots are billed by Clock Out Capital, either as a standalone subscription or as part of a bundle with the core Clock Out Capital subscription. Pricing is published in the Creator Marketplace.

5.3 Refunds

Refunds for Creator-related subscriptions are governed by the TOS. Clock Out Capital, not the Creator, is responsible for processing refunds. The fact that you are dissatisfied with a Creator's content or a Co-Branded Bot does not, by itself, entitle you to a refund except as expressly provided in the TOS.

5.4 Compensation Flow

Clock Out Capital pays a portion of fees received from Creator-related subscriptions to the Creator pursuant to a separate agreement between Clock Out Capital and the Creator. The specific percentages and terms of that arrangement are confidential, but you should understand that the Creator has a financial interest in your continued subscription. This is consistent with how affiliate, content-platform, and creator-marketplace economics generally work.

6. Creator Communications

6.1 Direct Communications

If a Creator communicates with you directly (e.g., in a Discord server, on a livestream, in a private message, or by email), those communications are between you and the Creator. Clock Out Capital does not monitor private Creator communications and is not responsible for what Creators say to you outside of the published content on the Creator Platform.

6.2 Reporting Misconduct

If a Creator engages in conduct that violates the Content Guidelines (e.g., providing personalized investment advice, fabricating performance results, soliciting payment outside the platform, harassing subscribers, or engaging in market manipulation), please report it to [email protected]. We investigate all reports and take action as appropriate.

7. Disclaimers

CLOCK OUT CAPITAL DISCLAIMS ALL LIABILITY FOR THE ACCURACY, COMPLETENESS, OR PERFORMANCE OF CREATOR CONTENT, AND DISCLAIMS ALL LIABILITY FOR YOUR TRADING DECISIONS, INCLUDING TRADING DECISIONS INFLUENCED BY CREATOR CONTENT OR CO-BRANDED BOTS. THE DISCLAIMERS, LIMITATIONS OF LIABILITY, AND RISK ACKNOWLEDGMENTS IN THE TOS AND THE RISK DISCLOSURE & INVESTMENT DISCLAIMER APPLY IN FULL TO ALL CREATOR-RELATED SUBSCRIPTIONS AND CO-BRANDED BOTS.

8. Acknowledgment

By subscribing to a Course Subscription or enabling a Co-Branded Bot, you acknowledge that:

• You have read and agree to this Addendum and the TOS;

• You understand that Creators are independent third parties whose opinions and content are not endorsed or guaranteed by Clock Out Capital;

• You understand that Creator Content is not personalized investment advice and that you alone are responsible for your trading decisions;

• You understand that every order placed in your connected brokerage account by a Co-Branded Bot is your order, in your account, at your risk;

• You understand that past performance, backtests, and Creator personal trading records do not predict your results;

• You may lose some or all of the capital in your trading account.

If you do not agree to this Addendum, do not subscribe to Creator-related content or enable a Co-Branded Bot.
