1. Purpose

This Acceptable Use Policy (this "AUP") describes uses of the Clock Out Capital website, the Clock Bots automated trading software, the stock screener, and any related applications, APIs, content, or services (collectively, the "Services") that are prohibited. This AUP is incorporated into and made a part of the Clock Out Capital Terms of Service. Violation of this AUP is a breach of the Terms of Service and may result in suspension or termination of your account, forfeiture of fees, and legal action.

We may modify this AUP at any time by posting the revised version on our website. The list of prohibited uses below is illustrative, not exhaustive. We reserve the right to determine, in our sole discretion, whether a particular use violates this AUP.

2. General Prohibitions

You may not use the Services to:

  • Violate any applicable law, regulation, exchange rule, self-regulatory organization rule, or third-party right;
  • Engage in any activity that is fraudulent, deceptive, harmful, or threatening to others;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Submit false, inaccurate, or misleading information at registration or thereafter;
  • Engage in any activity that could subject Clock Out Capital to liability under any law or regulation.

3. Trading-Specific Prohibitions

You may not use the Services to engage in or facilitate any of the following:

  • Market manipulation: spoofing, layering, marking the close, painting the tape, momentum ignition, or any other practice prohibited by SEC Rule 10b-5, the Commodity Exchange Act, exchange rules, or similar laws.
  • Wash trading: executing matched orders or other trades that result in no change of beneficial ownership for the purpose of creating a false impression of activity.
  • Insider trading: trading on the basis of material non-public information in violation of any law or duty.
  • Front-running: trading ahead of customer, employer, or fiduciary orders.
  • Pump-and-dump and coordinated promotion schemes: using the Services or any output thereof in connection with promotion campaigns intended to artificially inflate the price of a security.
  • Cross-jurisdictional violations: trading securities, derivatives, or cryptocurrencies in jurisdictions where you are not legally permitted to do so.
  • Money laundering or sanctions evasion: any use of the Services to launder proceeds of unlawful activity, evade U.S. or international sanctions, or finance terrorism.

4. Software and Technical Prohibitions

You may not:

  • Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, object code, underlying ideas, algorithms, file formats, programming, or interoperability interfaces of the Services, except to the extent such restriction is expressly prohibited by applicable law;
  • Modify, adapt, translate, or create derivative works of the Services or any portion thereof;
  • Remove, obscure, or alter any proprietary rights notices (including copyright and trademark notices) on or accompanying the Services;
  • Use any robot, spider, scraper, crawler, or other automated means to access, copy, index, or harvest any portion of the Services or any data accessed through the Services, except as expressly permitted by a published API or with our prior written consent;
  • Bypass, circumvent, or attempt to bypass any access controls, rate limits, security measures, or technological measures that protect the Services;
  • Probe, scan, or test the vulnerability of any system or network connected to the Services, or breach any security or authentication measures;
  • Introduce or attempt to introduce any virus, worm, malware, time bomb, Trojan horse, or other harmful or destructive code into the Services;
  • Interfere with, disrupt, or impair the operation of the Services or any user's enjoyment of them, including by overloading our infrastructure or any third-party infrastructure used to provide the Services;
  • Use the Services in any manner that exceeds reasonable usage volumes, places an unreasonable burden on our infrastructure, or interferes with our ability to provide the Services to other users.

5. Account, Access, and Credential Prohibitions

You may not:

  • Share, sell, rent, lease, or otherwise transfer your account credentials or license keys to any third party;
  • Share or transfer API access to any third party other than through the Connected Agents facility described in Terms of Service §5A. Issuing a scoped, revocable Connected Agent token to software you operate is permitted and is the supported way to give another program access to your account; handing your raw credentials to anyone is not, and neither is transferring a Connected Agent token to a person or organization other than yourself;
  • Maintain more than one account without our written consent;
  • Access the Services using credentials belonging to another user, or assist any other person in accessing the Services using credentials belonging to anyone other than that person;
  • Provide false brokerage credentials or attempt to connect a brokerage account that you do not own and have full authority to operate;
  • Submit OAuth tokens, API keys, or other credentials with permission scopes broader than reasonably necessary for Clock Bots to operate.

6. Content and Communications Prohibitions

If the Services include any community, comments, support, chat, or other feature that allows you to submit content, you may not submit content that:

  • Is unlawful, defamatory, libelous, obscene, harassing, threatening, hateful, or that incites violence;
  • Infringes any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property or proprietary right;
  • Constitutes investment advice or a recommendation to any specific other user, particularly any communication that targets a specific user's stated financial situation or objectives;
  • Constitutes spam, chain letters, pyramid schemes, multi-level marketing, unsolicited commercial communications, or any form of solicitation we have not expressly authorized;
  • Contains software viruses or any other code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware;
  • Promotes or facilitates pump-and-dump schemes, coordinated trading campaigns, or other manipulative trading conduct;
  • Discloses any other person's personal information without their consent;
  • Discloses material non-public information about any issuer of securities.

7. Resale, Redistribution, and Derivative Use Prohibitions

You may not, without our prior written consent:

  • Resell, sublicense, redistribute, or commercially exploit any portion of the Services or any data, signal, scan, indicator, alert, or other output thereof;
  • Republish, repackage, or display any data or content from the Services on any other website, application, or service;
  • Use the Services or any output thereof to operate a competing product or service;
  • Use the Services or any output thereof to provide investment advisory, research, or analytical services to any third party;
  • Use the Services or any output thereof to manage any other person's funds or trading account;
  • Use any output of the Services to train, fine-tune, or evaluate any machine learning model, large language model, or other artificial intelligence system. This does not restrict your ordinary use of the Services' own AI Features, including sending your own prompts and configuration data to an AI provider you have configured under the AI Provider Data Notice — that is a supported feature, not model training.

8. Brokerage Connection Prohibitions

In connection with any brokerage or third-party account you connect to the Services, you may not:

  • Connect any account that you do not own or are not legally authorized to operate;
  • Connect any account belonging to another person, including a friend, family member, employer, or client, even with their permission, unless you are independently licensed to manage their account and we have approved such use in writing;
  • Use the Services in any manner that violates the terms of service of the connected brokerage or third-party service;
  • Configure any bot in a manner intended to evade brokerage risk controls (e.g., position limits, pattern day trading rules, day trade buying power restrictions).

9. Reporting Violations

If you become aware of any conduct that violates this AUP, please report it to [email protected]. We will investigate reports we receive but are under no obligation to take any particular action.

10. Enforcement

We may, in our sole discretion and without prior notice:

  • Investigate any suspected violation of this AUP;
  • Cooperate with law enforcement and regulatory authorities;
  • Suspend or terminate access to all or any portion of the Services;
  • Disable or remove any account, content, configuration, or bot;
  • Forfeit any unused subscription fees;
  • Pursue any other remedy available at law or in equity.

Failure to enforce this AUP in a particular instance does not constitute a waiver of our right to enforce it in any other instance. We are not responsible to you or any third party for any action we take or fail to take in connection with enforcement of this AUP.

11. Indemnification

Without limiting any other indemnification obligation in the Terms of Service, you agree to defend, indemnify, and hold harmless Clock Out Capital and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of this AUP.
